Terms & Conditions
1. Scope of Services

1.1 Services may include Interior Design, FF&E curation and procurement support, Project Management and coordination, Renovation/Construction oversight (design intent only), Design Consultancy, and optional 3D visuals (separately contracted).

1.2 The specific scope, deliverables, fees, and timetable are defined in the Proposal. These Terms & Conditions (“T&C”) apply to all engagements unless otherwise agreed in writing.

2. Engagement Model & Third Parties

2.1 Unless expressly agreed otherwise, the Client contracts and pays suppliers and contractors directly. DorisB Design may recommend or coordinate with such parties but is not party to their contracts.

2.2 Contractors remain responsible for means, methods, measurements, workmanship, and legal compliance. Designer drawings represent design intent, not construction or engineering documentation.

2.3 If the Client requests DorisB Design to procure on the Client’s behalf, a separate Procurement Agreement will set out applicable fees, margins, and risk allocation.

3. Fees, Deposits & Payment

3.1 Fees may be fixed or phased as set out in the Proposal. Any additional or out-of-scope services are billed at the prevailing hourly rate stated in the Proposal or as subsequently notified in writing.

3.2 A non-refundable deposit of at least 30 % (or 50 % for small projects) is due before commencement.

3.3 Payment term: 7 days from invoice date. Overdue invoices accrue statutory interest under Dutch law plus a €25 administration fee per reminder. DorisB Design may suspend work until payment is received.

3.4 Reimbursables & Travel:
• Client reimburses reasonable out-of-pocket costs including local and long-distance travel, transport, parking, accommodation, meals during site or supplier visits, courier, large-format printing, sample procurement, white-glove coordination, and storage.
• Local travel within Amsterdam (≤ 10 km) may be included; beyond this is billed at the prevailing hourly or per-kilometre rate.
• National or international travel requested by the Client must be pre-approved in writing and reimbursed at cost + 10–15 % admin.

3.5 All fees are exclusive of VAT unless stated otherwise. Currency: EUR.

4. Changes, Revisions & Review Deadlines

4.1 Each design phase includes one (1) round of revisions. Further revisions, redesigns, or rework are billed extra (hourly or re-quoted).

4.2 Any change after approval (scope, materials, layout, or deliverables) constitutes new work and requires written confirmation of fee and schedule impact.

4.3 Client Review: Client must provide consolidated feedback within 7 working days of each submission. If none, DorisB Design may proceed based on the latest submission or pause the project.

4.4 Delays & Reactivation: If paused or inactive for > 3 weeks, DorisB Design may reschedule and apply a Reactivation Fee (up to 15 % of remaining contract value). Pauses > 8 weeks may be treated as termination (§ 13).

5. FF&E Selections, Pricing & Orders

5.1 Supplier pricing and lead times may change until confirmed. Quotes expire after 7 days if not stated otherwise.

5.2 Client must approve all item specs in writing before orders are placed.

5.3 Payments: Custom/made-to-order items require 100 % upfront; standard items typically 50 % + 50 %.

5.4 Designer trade terms or margins form part of the professional service and need not be itemised.

5.5 Delivery & Risk: Risk transfers to the Client on delivery to the agreed address. The Client must inspect goods immediately and report damage within 24 hours with photos.

5.6 Installation, assembly, and white-glove services are not included unless specified.

5.7 Custom items are non-returnable; standard returns (if accepted) may incur restocking/transport fees. Product warranties are by the manufacturer; assistance with claims is billed hourly.

5.8 Samples & Variations: Samples are indicative; natural material variations are not defects.

6. Project Management & Site Coordination

6.1 Project Management covers coordination of design intent and decisions. It does not include contractor obligations, site safety, or permit responsibility.

6.2 Typical cadence: up to one coordination meeting per week during active phases. Site visits billed as half-day or full-day blocks (travel included).

6.3 Client must provide accurate site data, building rules, and required permits/approvals.

6.4 Contractors verify dimensions before fabrication or installation and remain responsible for compliance.

7. Deliverables & File Formats

7.1 Deliverables may include: Concept Pack, Space Plans, Design Development Set, FF&E Schedule (PDF + XLSX/CSV), Lighting Plans, Specifications, Tender Pack, and optional 3D Visuals.

7.2 Contract deliverables are provided in PDF (and XLSX/CSV for schedules).

7.3 Native working files (CAD/DWG/BIM/Rayón/PSD/INDD) remain property of DorisB Design unless separately licensed in writing (project-specific, non-exclusive, non-transferable).

7.4 Drawings are design-intent scale; site verification by contractor required.

7.5 Files are transmitted electronically with reasonable security.

8. Intellectual Property & Portfolio Rights

8.1 All design materials remain DorisB Design intellectual property until paid in full.

8.2 Upon full payment, Client receives a non-exclusive, non-transferable licence to use the final deliverables solely for the specific project and site.

8.3 If the project ends early, Client may use only fully paid work; unpaid work remains the Designer’s property.

8.4 DorisB Design may photograph and publish completed work (website, social, PR, portfolio) and reference the project or Client name unless the Client objects in writing before publication.

9. Client Responsibilities

Provide timely decisions, consolidated feedback within 7 days, site access, single contact, permits, parking, and suitable insurance for goods in transit, storage, and works on site.

10. Liability & Warranties

Liability capped at total fees paid for the affected phase/service. No liability for third-party errors, delays, manufacturing defects, or indirect losses. Force majeure events exempt. Product warranties lie with manufacturers.

11. Non-Solicitation

Client will not, during the project and for six (6) months thereafter, directly engage or solicit the Designer’s subcontractors or freelancers without consent.

12. Suspension & Withholding

DorisB Design may suspend work and withhold deliverables for non-payment or material breach until remedied.

13. Termination

Either party may terminate for material breach not cured within 10 working days.
Client termination for convenience: all fees for completed/ongoing work and committed costs remain payable; deposits non-refundable.
Paused > 8 weeks = termination.

14. Privacy & GDPR

Data processed solely to deliver services per GDPR; retained for statutory periods then securely deleted. Privacy Notice available on request.

15. Consumers vs Business Clients
For business clients; consumer mandatory rights prevail where applicable.

16. Notices & E-Signatures

Email notices and e-signatures are valid and binding.

17. Entire Agreement & Precedence

Order: (i) Proposal, (ii) these T&C, (iii) appendices. Together they form the entire agreement. Amendments must be in writing.

18. Subcontractors & Freelance Support

DorisB Design may engage qualified subcontractors/freelancers for portions of the Services while retaining coordination responsibility. No direct contractual link with the Client is created.

19. Severability & Assignment

Invalidity of any clause does not affect the remainder. Neither party may assign without consent; Designer may use normal subcontractors.

20. Governing Law & Dispute Resolution

Dutch law governs. Disputes → good-faith negotiation → mediation in Amsterdam → competent court in Amsterdam.

Acceptance

By engaging DorisB Design or approving the Proposal, the Client acknowledges and accepts these Terms & Conditions in full.

Be available between 09.00 a.m. and 5:00 p.m. (The Netherlands time) each working day (Mon-Fri), but we can change the timings for our international clients due to time zone difference.

The company firmly abides by certain rules and acts in accordance with the interior design professionals’ codes of ethics; the priority of interior designers is the protection of the health, safety, and the welfare of the public in the built environment. DorisB Design is responsible and always tries to incorporate sustainability into the designsSustainable architecture seeks to minimize the negative environmental impact on buildings though efficient and moderate use of materials, energy, and development space and the ecosystem in the wider sense.

Our team at DorisB Design take a responsible attitude to energy and ecological conservation in the design of the built environment. The idea of sustainability and ecological design is to ensure that our actions and decisions today do not inhibit the opportunities of future generations. We also try to adopt green architecture and green design, which is an approach to building that minimizes harmful effects on human health and the environment. A “green” architect or designer attempts to look after the air, water and the earth by using eco-friendly building materials and construction practices. The benefits of green building are numerous, and include health and safety benefits. DorisB Design ensures that her suppliers run their businesses in a sustainable way, conserving natural resources and efficiently using energy, water and materials. Wherever possible, she sources renewable materials that have been sustainable certified and meet strict environmental and socially responsible criteria. Energy-efficiency is at the heart of her interior design as she installs the most high-efficiency materials, whether they be heavy insulated curtains that keep the cold and sun out, low-energy lighting systems, or walls painted in a light color to capture natural daylight and reflect heat from other objects or walls that retain the heat. 

Sustainable design projects plan efficient use of space, choose materials with a low environmental impact, and reduce energy consumption, pollution, and waste.

We believe that a healthy interior environment leads to greater comfort and satisfaction.

Finally, we achieve an aesthetic result and design sustainable without compromising on appearance.

SUPPLIER CODE OF CONDUCT

We ensure that our suppliers always pursue excellence, and are constantly developing. Our suppliers deliver the highest level of personalized service – built on quality and trust.

Hours: DorisB /design suppliers must uphold the local legal limit on hours worked, and where no limit is imposed, they must not engage workers for more than 60 hours a week at most – except in extraordinary circumstances. Workers must receive at least 2 days off each week.

Wages: DorisB Design suppliers must pay their employees the legal minimum wage or the prevailing industry wage (whichever is higher) as well as any legally prescribed benefits. Workers must not be subject to financial penalties for poor performance or face illegal deductions for benefits payments.

Anti-discrimination: DorisB Design suppliers must not subject their workers to any unfair or unjustified discrimination regarding hiring, remuneration, promotion or termination. Any employment decisions must be based on worker ability and not on personal characteristics such as race, color, religion, gender, age, national origin, sexual orientation, gender identity, marital status, disability etc.

DorisB Design suppliers are expected to comply with the law in all circumstances. In cases where applicable law conflicts with the provisions of this policy, suppliers are expected to comply with the law, while seeking to meet the fundamental principles of this policy.
